Please carefully review these terms and conditions ('Terms') before using the Your Shop Club platform ('Platform'). These Terms, combined with the Privacy Policy available on the Platform ('Privacy Policy') and any additional policies notified/displayed/published on the Platform, constitute the agreement ('Agreement') between Platform users and the Company. Users agree to abide by this Agreement, as updated on the Platform, when accessing or using it.
ABOUT THE TERMS
What is Your Shop Club and who operates it?

Your Shop Club is an online marketplace providing a platform where registered vendors ('Vendors') can offer their products to registered Platform users.

The Platform, including the website at www.yourshopclub.in ('Website'), is operated by [Yourshopclub].
-
Yourshopclub's role is limited to managing the Platform, facilitating transactions, payment collections, order management, and related services to connect Vendors and Users ('Services').
-
Services are exclusively available on the Platform, and to access them, Users must install the Your Shop Club application ('Application').
When do these Terms Apply to Users and Become Binding?

The Agreement becomes applicable to individuals when they install, download, visit, or access any part of the Your Shop Club Platform or use its Services. Individuals falling under this category are collectively referred to as 'Users,' including browsers, Suppliers, Resellers, merchants, and other content contributors.

The Agreement's effectiveness is established on the date of Application download/Website access and/or the date of Agreement term updates, establishing a legally binding relationship between the User and Your Shop Club.
Can the Terms of This Agreement be modified?

Users have the right to review the most current version of the Agreement on the Your Shop Club website. The Company retains the unilateral right to update, change, or replace any part of the Agreement by publishing updates or changes on the Platform. The amended provisions become effective immediately upon posting.

Users are responsible for checking this page periodically for changes. Continued use of or access to the Your Shop Club Platform after posting any changes constitutes acceptance of those modifications.
What if the Agreement Terms are Unacceptable to the User?
If the User disagrees with the terms of the Agreement, it is advised to refrain from using the Your Shop Club Platform. Using the Services implies the User's agreement to abide by the terms of the Agreement, as updated from time to time.
ACCOUNT REGISTRATION, SUSPENSION, AND TERMINATION
Account Registration Necessity:
Your Shop Club requires Users to register for Services on the Platform. Access to the Application is granted through account creation, limited to buying or selling products under this Agreement, and strictly non-transferable.
User Eligibility Criteria:

To use the Platform, Users must be capable of forming legally binding contracts under the Indian Contract Act, 1872, and must be at least eighteen (18) years old.

The Company reserves the right to terminate User accounts and deny Platform access if Users fail to meet these conditions. Users affirm they have the right to access and use the Platform.
Account Registration Requirements:

Users must provide a valid phone number during registration, consenting to communication via calls, SMS, or other means. Users can opt-out of updates through provided means or by contacting support.

Users are responsible for providing a correct mobile number. If SMS communication fails due to incorrect information, the Company is considered to have effectively communicated.

Users must provide accurate information during registration and keep it updated.
Suspension or Termination of User Account:

The YourShop Club reserves the right to suspend, terminate, or block access to the Services on the Application, including blocking any due amounts, without notice. Users are liable for all amounts due up to the termination date if:

Information provided during registration is inaccurate, not current, or incomplete.

The User, as per the Company's assessment, has:

Charged an unreasonably high price.
-
Initiated unreasonable returns/cancellations.
-
Engaged in unlawful, fraudulent, negligent, or derogatory actions against the Company's interests.
-
Failed or is suspected to have failed to comply with any term or provision of the Agreement or applicable law.
-

In case of non-compliance with the Agreement or violation leading to criminal or civil action, the Company may, at its discretion, pursue legal action.

Without prejudice to the above, in cases of alleged fraud or breach of the Agreement by the User, the Company may:

Withhold all amounts payable to the User.
-
Impose penalties as reasonably determined by the Company, setting off such penalties from the monies payable by the Company to the User.

User Obligations for Registered Accounts:

Having an account on YourShopClub authenticates User actions, making them solely responsible for all activities under the account. Transactions are intended for bona fide sale or consumption within their business activities.

Every activity under a User's account is their sole responsibility. The User must treat user identification, password, and provided information as confidential, not disclosing them to any person or entity other than YourShopClub.

User acknowledges that having an account doesn't grant additional rights beyond those specified by YourShopClub. All rights to the account are owned by and benefit YourShop Club.

Upon registration, Users receive a password-protected account and identification. Users agree to:

Maintain password confidentiality.
-
Take full responsibility for account activities.
-
Promptly report any unauthorized account use or security breach.
-
Ensure proper account logout after each session.
-
Order Placement and Financial Terms for YourShopClub:
How does
order placement work on the Platform?

The
YourShopClub platform allows Users to place orders for products listed by Suppliers. It
facilitates order placement, and upon order receipt, the Company electronically confirms it
to the Supplier and the User. Supplier confirmation is considered final.
-
YourShop Club doesn't own, sell, or resell products directly. It acts as a
'marketplace,' connecting buyers and sellers. Users must provide accurate purchase
and account information. Fulfillment of orders to end users by a Reseller is the
Reseller's responsibility. Any additional service provided by YourShop Club for such
orders is done as a service provider to the Reseller, with no direct contract with the end
user.
Commercial Terms on YourShopClub:

All commercial/contractual terms, including price, delivery details, and warranties, are set
by Suppliers and agreed upon directly between Suppliers and Users. YourShopClub does not
intervene or control these terms.

For deliveries by Resellers, YourShopClub serves as a service provider, assisting with
delivery services. It doesn't interfere with the commercial/contractual terms between
Resellers and end users/consumers.

Policies concerning returns, penalties, refunds, and cancellations will be periodically
updated in the Application. The Company holds the right to modify these policies without
explicit user permission based on internal or external considerations.

The Company retains the discretion to withhold benefits like COD payments and refund claims
based on internal or external factors.
Payment and Settlement on YourShopClub:

Users
acknowledge that the YourShopClub, upon Supplier or Reseller request, acts as a payment
agent to accept payments. This service is a facilitator, not a banking or financial service,
and YourShopClub is not liable for bank charges related to payment.

In any order, user information, including transaction details, may be provided to the
YourShopClub or a third-party payment processor. Users should review terms, conditions, and
privacy policies of third-party processors before use.

The YourShopClub collects payments on behalf of the Supplier or Reseller. Tax rates and
applicability are determined by the Supplier or Reseller, and YourShop Club is not
responsible for the legal correctness of tax levies. Any legal issues regarding taxes are
the Reseller's liability.

User Transactions are bilateral between Suppliers Users or Reseller & end
users/consumers. The YourShop Club is not liable for charging or depositing taxes on such
transactions.

Users may provide bank details for refunds, margins, and other payments. Editing bank
details is subject to conditions, and YourShop Club reserves the right to set limits on
edits or updates.

If a User breaches the total limit for updating bank details or uses the same bank account
for over ten platform accounts, customer support must be contacted for updates.
-
YourShop Club may, at its discretion, block cash on delivery (COD) payments for various
reasons, including high product value.
-
Customers
have the option to initiate a refund for eligible products within 7 days of product
delivery.
-
Payment
settlements on YourShopClub occur through a weekly cycle, allowing sellers to receive
payments every Tuesday following the delivery of their products.
-
In the event of a customer-initiated refund for an eligible product, sellers can expect to
receive payment within 3 business working days after the product is received by the seller.
-
In case a seller sells a refund-eligible product and the customer initiates a refund after
the seller has already received the payment, the YourShopClub will deduct the corresponding
amount on the upcoming Tuesday settlement.

Charges for
YourShopClub Services:

YourShopClub may impose charges for services on the platform, the rates of which are at the
sole discretion of the company. Charges are subject to user approval during the order
placement. The company reserves the right to revise charges at any time.

YourShop Club may introduce additional chargeable services, including fees for premium
return services, cancellation charges, cash-on-delivery handling fees, etc.
GST Registration Requirement:

The company is not liable for any legal violations by the user and advises seeking independent tax advice for GST registration and compliance.
Terms and Conditions for YourShopClub Offers and Benefits:

All product discounts and offers on YourShopClub are provided by suppliers, not the company ('Supplier Offers').

YourShopClub may conduct marketing campaigns with various offers, discounts, and promotions on the platform ('YourShop Offers').

YourShop Offers are subject to terms determined by the company, varying based on user factors like platform usage, transaction volume, time spent, location, etc.

The company reserves the right to void, amend, discontinue, or cancel any offers without prior notice.

Timing, dates, product availability, and terms of offers may vary at the company's discretion.

Offers, discounts, and promotions may change or be amended periodically.

Some offers may be valid for limited inventory and subject to product availability at the time of booking.

Certain offers apply only to specific products and may have limited stocks.

The company reserves the right to cancel return or exchange options for products purchased under offers.

Users are responsible for reviewing and complying with the terms of offers on the platform.

Offers may not be valid in conjunction with other promotions or vouchers unless explicitly permitted.

Offers cannot be exchanged for cash and must be availed according to specified terms.

Some offers may be applied at the cart level and divided among products in a single transaction.

Cancellation or return of products subject to promotions will result in a refund of the amount paid.

If a product is cancelled or returned, the associated offer, promotion, or discount may be forfeited.

The company and/or the supplier have no liability concerning offers on the YourShopClub platform.
Terms and Conditions for YourShopClub Supplier Offers:

Supplier Offers are subject to terms determined by YourShopClub, varying based on user factors like platform usage, transaction volume, time spent, location, etc.

YourShopClub reserves the right to void, amend, discontinue, or cancel any Supplier Offers without prior notice.

Timing, dates, product availability, and terms of Supplier Offers may vary at YourShopClub's discretion.

Supplier Offers may be changed or amended periodically.

YourShopClub reserves the right to make certain Supplier Offers valid for limited inventory and subject to product availability at the time of booking.

Certain Supplier Offers may apply only to specific products and may have limited stocks, operating on a first-come-first-served basis.

YourShopClub reserves the right to cancel return or exchange options for products purchased under Supplier Offers.

Users are responsible for reviewing and complying with the terms of Supplier Offers on the platform.

Supplier Offers may not be valid in conjunction with other promotional offers or vouchers unless explicitly permitted.

Supplier Offers cannot be exchanged for cash and must be availed according to specified terms.

Certain Supplier Offers may be applied at the cart level and divided among products in a single transaction.

Subject to YourShopClub’s Cancellation and/or Return, Refund, and Replacement policy, if a User cancels or returns a product subject to Supplier Offers, they will receive a refund of the amount paid.

If a product is cancelled or returned, and in accordance with YourShopClub's policy, any applied Supplier Offer will be forfeited.
-
YourShopClub and/or the Supplier have no liability concerning Supplier Offers on the platform.
YourShopClub Platform Usage Terms:
Accessibility and Limitations:

YourShop Club aims for 24X7 availability of the platform, but uninterrupted access is not guaranteed. The platform may undergo upgrades, and Company does not ensure compatibility with all hardware and software.

Users are responsible for internet and telecommunication costs associated with platform access.
-
The platform is provided 'as is' and 'as available,' and Company disclaims all warranties, express or implied.
-
Users are solely responsible for data system damages or data loss resulting from content downloads. No
guidance, written or oral, constitutes a warranty unless stated otherwise.
Agreement Performance Guarantee:

YourShopClub acts as a facilitator and does not guarantee the performance of agreements or transactions between Users, including Suppliers and Resellers.

The Company is not an arbitrator in disputes and disclaims liability for any errors or inconsistencies in information displayed on the platform.
-
YourShopClub does not verify the item-specifics of Users and disclaims liability for any misuse of information shared on the platform.
-
The Company is not an arbitrator in disputes related to property rights and cannot verify the right of Sellers to sell products on the platform.
-
YourShopClub does not take possession of products, gain title, or have rights over products in any transaction. The Company is not responsible for damages or delays due to product availability issues.
YourShopClub Platform Usage Restrictions and User Compliance:
Prohibited Content:
Users must not upload, display, or share content that:

Belongs to another person without proper authorization.

Is harmful, harassing, defamatory, obscene, pornographic, or violates any law.
-
Harasses or advocates harassment, or threatens the unity, integrity, defence, or sovereignty of India.
-
Contains viruses, promotes illegal activities, or violates any applicable laws.
User Compliance:
When using the YourShopClub Platform, Users must:

Provide truthful and accurate registration information.
-
Use the platform solely for personal use and not authorize others to use their account.
-
Not submit offensive, illegal, or sexually explicit content.
-
Ensure ownership of necessary licenses, consents, and permissions for submitted content.
-
Comply with all applicable laws and not harm the Company or any other person or entity.
-
Not post files containing viruses or other harmful components.
-
Not use another person’s account information, impersonate others, or misrepresent identity.
-
Not delete or modify platform content, including disclaimers or proprietary notices.
-
Avoid posting obscene, indecent, discriminatory, or harmful information.
-
Not access the platform without authorization or disrupt its functionality.
Security Measures:
Users must not attempt to gain unauthorized access, probe vulnerabilities, or interfere with the proper functioning of the platform. Any unauthorized activity may lead to the disabling of user identification codes or passwords.
Legal Compliance:
Users must comply with all applicable laws, including the Information Technology Act, 2000, and rules thereunder. Compliance extends to domestic and international laws, exchange control laws, and taxation regulations.
Grant of Rights:
Users grant YourShopClub the right to use the information provided in accordance with the Agreement and for the provision of services.
Enforcement by YourShopClub:
YourShop Club reserves the right to disable user identification codes or passwords if Users fail to comply with the terms. The Company may take necessary actions and claim damages for any involvement in hacking activities.
Fair Usage Policy for YourShopClub:
We are committed to providing the best possible experience for our customers on the YourShopClub platform. In order to ensure that all customers use our platform in good faith, we monitor customer behavior, including order history and other details related to platform use. Our Fair Usage Policy is designed to address any misuse of our platform or violation of policies, including but not limited to excessive returns, refusal to accept shipments, indications of fraudulent or suspicious activity, or association with such behavior.
Accuracy and Completeness of Information on YourShopClub:
What is the accuracy and completeness of all information displayed on the Platform?

YourShop Club takes all endeavors to keep information on the Platform accurate, making the best efforts. However, the material and content on the Platform are for general information only and should not be relied upon as the sole basis for decision-making without consulting primary, more accurate, or timely sources of information. Reference to paragraph 6.2 below, User will agree that a majority of content, including products displayed on the Platform, are provided by the respective Suppliers, who shall at all times be responsible for provision of information related to such products listed by them. Apart from reasonable checks to ensure general hygiene of Platform, Company does not exercise any control over such content or information.

Company undertakes no obligation to update, amend, or clarify information on the Platform, including without limitation, pricing information, except as required by law. Company does not own any responsibility or obligation whatsoever towards ensuring the accuracy of the information provided by the Users. Any reliance on the material on Platform is at the Users’ own risk.

Platform may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. The Company reserves the right to modify the contents of Platform at any time but has no obligation to update any information on Platform. User is solely responsible to monitor changes to the information on Platform. No specified update or refresh date applied to Platform should be taken to indicate that all information on Platform or pertaining to the Services has been modified or updated.

Occasionally there may be information on Platform that contains typographical errors, inaccuracies, or omissions that may relate to information pertaining to the products, pricing, promotions, offers, shipping charges, transit times, and availability. Company reserves the right to correct any errors, inaccuracies, or
omissions, and to change or update information if any information on Platform is inaccurate at any time without prior notice.

The Information is provided ‘as is’ with no guarantee of completeness, accuracy, timeliness, or of the results obtained from the use of the Information, and without warranty of any kind, express or implied, including, but not limited to warranties of performance, merchantability, and fitness for a particular purpose. Nothing contained in this Agreement shall to any extent substitute for the independent investigations and the sound technical and business judgment of User.
Information Source for Products on YourShopClub Platform:

Not all information on the YourShopClub Platform is provided by the Company. Users who are Suppliers contribute information related to the products they propose to sell, and they bear responsibility for the accuracy of such information. Suppliers are advised against exaggerating or overemphasizing product attributes in a way that may mislead Users.

The Company holds the right, without obligation, to monitor the materials posted on the Platform. It also has the discretion to remove or edit any content that, in its sole judgment, violates applicable laws or the essence of these Terms. The Company, however, assumes no responsibility or liability for any content posted or any claims, damages, or losses resulting from the use of content on the Platform.

Suppliers are solely responsible for the accuracy of details regarding the products offered on the Platform, including quality, value, and saleability. The Company does not implicitly or explicitly endorse the sale or purchase of any products, nor does it provide any warranty or guarantee for the products sold to Users. In no event shall such products be the responsibility of the Company. The Company does not represent or warrant that the information available on the Platform will be correct, accurate, or otherwise reliable.

The Company is not accountable for any inaccuracy, incompleteness, or outdated information made available on the YourShopClub Platform, whether provided by Users or Suppliers.
LISTING AND SELLING
Supplier Compliance with Additional Terms:

As a Supplier, in addition to complying with this Agreement, you are required to adhere to the relevant laws of India, including but not limited to:

The Legal Metrology Act, 2009, and Legal Metrology (Packaged Commodities) Rules, 2011 (Packaging Rules).
-
Drugs and Cosmetics Act, 1940, and Drugs and Cosmetics Rules, 1945 (D&C Rules).
-
The Consumer Protection (E-Commerce) Rules, 2020.
-
Food Safety and Standard Act, 2006, along with related regulations such as FSS Packaging Regulation, FSS Standard Regulations, and FSS Supplement Regulation.

Suppliers must ensure that product packaging complies with labelling, packaging requirements, and other applicable laws. The Supplier bears sole responsibility for compliance, and the Company is not liable. Suppliers indemnify the Company and the Platform for any harm or loss resulting from a breach of these regulations or other applicable laws.
Product Listing Guidelines:

Suppliers are allowed to list products on the YourShopClub Application in accordance with the terms outlined in this Agreement and any additional contracts with the Company, specifying detailed rights and obligations.

By listing products, Suppliers confirm that they have the legal authority to sell or list the items on the Platform. They further warrant that the listed items do not infringe on intellectual property, trade secrets, proprietary rights, or the rights of publicity or privacy of any third party. Suppliers must refrain from using any third party's images without proper consent, and both Suppliers and Users acknowledge that the Company is not liable for such breaches.
USER INFORMATION AND THIRD-PARTY TOOLS/LINKS
Collection and Handling of User Information:

YourShopClub collects various types of information, both non-personal and personal, from Users. This information is processed to facilitate operations on the Platform, including registration, order placement, listing, and payments.

For a detailed overview, Users are encouraged to refer to YourShopClub's Privacy Policy available on the Platform.
Usage of Third-Party Tools:

YourShopClub may grant Users access to third-party tools through the Platform. The Company does not monitor or control these tools. Users acknowledge that access to such tools is provided on an 'as is' and 'as available' basis, without warranties or endorsements from the Company. The Company bears no liability arising from or related to the User's use of optional third-party tools.

User usage of optional tools is at their own risk and discretion. Users are responsible for ensuring familiarity with and approval of the terms provided by relevant third-party providers.

New features introduced through the Platform may include the use of new third-party tools, subject to the terms of this Agreement. Concerns about third-party tools or websites should be directed to the third party.
Third-Party Links and Tools Accuracy and Security:

Some content or products on YourShopClub may include materials from third parties. Links to third-party websites on the Platform do not imply affiliation with the Company. The Company is not responsible for evaluating third-party content or accuracy and holds no liability for third-party materials, websites, or any transactions with third parties.

YourShopClub is not liable for harm or damages related to the purchase or use of goods, services, resources, or content from third-party websites. Users are advised to carefully review third-party policies and practices before engaging in any transactions.
INTELLECTUAL PROPERTY (IP) AND IP INFRINGEMENT
Usage of Content and Trademarks:

Users are prohibited from using any trademark, service mark, or logo of independent third parties without prior written approval.

The trademarks, including 'YourShopClub,' icons, and logos, whether registered or unregistered, are the property of the Company and are protected under applicable copyright, trademark, and intellectual property laws. Unauthorized adoption, copying, modification, or use of these marks is strictly prohibited.

Users must not modify digital or paper copies of materials, and usage of illustrations, photographs, video, audio sequences, or graphics separately from accompanying text is not allowed.

Commercial use of any part of the materials on the Platform requires a license from the Company. All rights not claimed under this Agreement are reserved by the Company.

The Platform and embedded software may have security components protecting digital materials. Users agree not to interfere with these security components and usage rules.
Dealing with IP Infringement:

Trademarks or intellectual property of Users or Suppliers solely belong to them, and the Company claims no right over them.
-
The Company reserves the right to remove any material/content/photos/offers on the Platform believed to be unlawful, in violation of this Agreement, or inappropriate in the Company's opinion. Cooperation with investigations is at the Company's discretion.

The Company is not an arbitrator of disputes concerning intellectual property. Users are encouraged to assist in identifying listings that may infringe on their rights or third-party rights.

Delisting a product from the Platform is a precautionary measure. Taking down a listing does not imply endorsement of an infringement claim, and the Company is not endorsing that a listing is non-infringing in instances where it declines to take it down.

All notices or demands to or upon a User(s) shall be effective if delivered personally, sent by courier, certified mail, by facsimile, or email to the last-known correspondence, fax, or email address provided by User(s) on the YourShopClub platform.

Notice to a User(s) shall be deemed received when sent to the address, email, or other communication details provided by the User at the time of registration, whether in physical or electronic form, or immediately upon publishing such notice on an area of the YourShop Club platform that is publicly accessible.
Handling Calls from Third Parties:
YourShopClub advises Users to be cautious of fraudulent calls and messages. Authorized representatives of YourShopClub will never demand money for prizes or ask for sensitive information like passwords/PIN/CVV over the phone. If contacted by someone claiming to be from YourShopClub, Users should request communication through official email channels and respond only to emails from the yourshopclub.com domain.
Confidentiality of Calls:
All calls to YourShopClub are confidential. While calls may be recorded for quality assurance, they will be treated with utmost confidentiality. Call monitoring and recording are conducted for training purposes to ensure excellent customer service.
MISCELLANEOUS PROVISIONS APPLICABLE TO AGREEMENT
Governing Law and Jurisdiction:
This Agreement is governed by the laws of India. Any legal proceedings related to matters arising under or relating to this Agreement or the YourShopClub platform shall be subject to the jurisdiction of the courts in Chennai, India.
Right to Assignment:
YourShopClub reserves the right to assign its obligations and duties in this Agreement to any person or entity.
No Waiver:
The failure of YourShopClub to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
Platform Access and Compliance:
The YourShopClub platform is controlled and operated from India. Users accessing and using the platform from outside India do so at their sole risk. Users are responsible for compliance with all applicable local laws, and YourShopClub is released from any liability or loss in this respect.
Changes to Platform and Services:
YourShopClub reserves the right to introduce new features, functionalities, and components to the platform or change, alter, modify, suspend, discontinue, or remove existing ones without prior notice. YourShopClub is also entitled to discontinue one or more services (either permanently or temporarily) or terminate the platform, or charge for services that were previously free, without any prior notice to Users.
